1. Acceptance of Terms

These Terms and Conditions (the Terms) govern access to and use of DriPA, the Driver Performance and Assurance Platform owned and operated by Qoray Mobility and Energies Limited (QMEL, we, us or our), a company incorporated under the laws of the Federal Republic of Nigeria. DriPA comprises the DriPA Driver Mobile Application, the Business and Operator Portal, the Super Admin Portal, and any associated services, dashboards, application programming interfaces and notifications (together, the Platform).

By creating an account, downloading the application, linking an operator account, or otherwise accessing the Platform, you confirm that you have read, understood, and agree to be bound by these Terms and by our Privacy Policy, which is incorporated into these Terms by reference. If you do not agree, you must not access or use the Platform.

2. Eligibility and Account Registration

The Platform is intended for drivers operating on partner ride hailing and mobility platforms (Operators), and for authorised representatives of Operators and corporate clients who are granted access to the Business and Operator Portal or Super Admin Portal.

  • You must be at least eighteen years of age and legally capable of entering into a binding contract under Nigerian law.
  • You must hold a valid means of identification recognised under Nigerian law, including a Bank Verification Number (BVN) or National Identification Number (NIN), and any vehicle or driving documentation required for your category of registration where applicable.
  • You must provide accurate, current, and complete information during registration, and you are responsible for keeping this information up to date.
  • Account registration is subject to identity verification. We reserve the right to decline, suspend, or delay activation of any account where submitted documents cannot be verified.

You are responsible for maintaining the confidentiality of your login credentials and for all activity that occurs under your account. You must notify us immediately if you suspect unauthorised use of your account.

3. Description of the Platform

DriPA is a performance scoring, earnings, and assurance platform designed to support drivers operating on partner mobility platforms. The Platform draws on data from linked Operator accounts, an in vehicle telematics service, and, where applicable, licensed credit reference sources, in order to generate the following for each registered driver.

  • A composite performance score between zero and one hundred, derived from four underlying pillars: Reliability, Quality, Safety, and Credit.
  • A tier classification (A Plus, A, B, C, or D) that determines applicable earnings multipliers.
  • An earnings and compensation summary, including fixed base pay, productivity bonuses, revenue target bonuses, punctuality and attendance bonuses, and safety bonuses, where these arrangements apply to the driver's engagement with an Operator.

Where the Safety or Credit pillars are not yet fully active for a given driver or market, a neutral default value is applied and clearly labelled within the Platform until full scoring is enabled.

3.1 Nature of the Score

The composite score, tier classification, and any associated earnings multiplier are informational and operational tools generated through automated processing of trip, telematics, and, where applicable, credit data. They are not a certification of creditworthiness for any purpose outside the Platform, are not a guarantee of future earnings, and do not constitute financial, employment, or legal advice. Scores may change as new data is received and may be recalibrated from time to time as described in our scoring methodology documentation.

4. Driver Compensation and Payments

Where DriPA is used to calculate or display compensation owed to a driver by an Operator, the underlying compensation arrangement remains a matter between the driver and the relevant Operator, unless QMEL is expressly identified as the paying party in a separate agreement. All compensation calculations performed by the Platform are reproducible from stored inputs, and a full audit trail is maintained for amounts displayed, scoring variable changes, and any disputes raised.

Any subscription or transaction fees applicable to Operators or corporate clients for access to the Business and Operator Portal will be set out separately in the applicable subscription agreement and processed through our licensed payment providers unless otherwise agreed in writing.

5. Dispute Resolution Within the Platform

If you believe that your score, tier, or earnings calculation is incorrect, you may submit a dispute through the dispute submission feature in the Driver Mobile Application or by contacting support. Disputes are logged, reviewed against stored inputs and audit records, and resolved by an authorised administrator. We aim to acknowledge disputes promptly and to resolve them within a reasonable period, though resolution timeframes may vary depending on the complexity of the matter and the need to obtain information from a relevant Operator.

6. Acceptable Use

In using the Platform, you agree that you will not:

  • Provide false, fraudulent, or misleading identity, vehicle, or financial information.
  • Attempt to manipulate, circumvent, or interfere with the scoring engine, telematics data collection, or any other automated process of the Platform.
  • Share your account credentials with, or permit access to your account by, any third party.
  • Use the Platform for any unlawful purpose or in a manner that infringes the rights of QMEL, an Operator, another driver, or any third party.
  • Reverse engineer, decompile, or attempt to extract the source code or underlying scoring methodology of the Platform, except to the extent expressly permitted by law.

We reserve the right to suspend or terminate any account found to be in breach of this section, and to report suspected fraudulent activity to the relevant Operator, regulatory authority, or law enforcement agency.

7. Telematics and Location Data

Continued use of certain Platform features, including Safety pillar scoring, requires that the telematics software development kit remain installed and active on your device during periods of operation on a linked Operator platform. Collection, use, and retention of telematics and location data are governed by our Privacy Policy. You may disable location or telematics permissions through your device settings, but doing so may limit or disable features that rely on that data, including parts of your composite score.

8. Intellectual Property

The Platform, including its software, scoring methodology, visual design, trademarks, and the DriPA name and logo, is the property of QMEL or its licensors and is protected by applicable intellectual property laws. Nothing in these Terms grants you any ownership right in the Platform. You are granted a limited, non transferable, revocable licence to use the Platform solely for its intended purpose, in accordance with these Terms.

9. Third Party Services

The Platform integrates with third party services, including Operator platforms such as ride-hailing operators, telematics service, licensed credit bureaus, and payment processors where applicable. Your use of those third-party services may be subject to additional terms imposed by those providers. QMEL is not responsible for the acts, omissions, availability, or accuracy of data provided by third party services, although we take reasonable steps to integrate with reputable and compliant providers.

10. Disclaimers

The Platform is provided on an as is and as available basis. While we take reasonable steps to maintain accuracy, security, and uptime, we do not warrant that the Platform will be uninterrupted, error free, or free from data inaccuracies arising from third party sources, including Operator trip data or credit bureau records. Planned maintenance may occur outside peak operating hours and will be communicated where practicable.

11. Limitation of Liability

To the maximum extent permitted by Nigerian law, QMEL, its directors, employees, and agents shall not be liable for any indirect, incidental, special, or consequential loss arising from your use of, or inability to use, the Platform, including loss of earnings, loss of data, or loss of business opportunity, except where such loss arises from our gross negligence or wilful misconduct. Nothing in these Terms limits any liability that cannot lawfully be excluded or limited under applicable Nigerian consumer protection or data protection law.

12. Suspension and Termination

We may suspend or terminate your access to the Platform, with or without notice, where we reasonably believe that you have breached these Terms, where required by an Operator's withdrawal from the Platform, where required by law, or where your account has been inactive for an extended period. You may close your account at any time by contacting us, subject to completion of any outstanding compensation, dispute, or regulatory obligations.

13. Changes to These Terms

We may update these Terms from time to time to reflect changes in the Platform, applicable law, or our business operations. Where changes are material, we will provide reasonable notice through the Platform or by other appropriate means before the changes take effect. Continued use of the Platform after the effective date of any update constitutes acceptance of the revised Terms.

14. Governing Law and Dispute Resolution

These Terms are governed by the laws of the Federal Republic of Nigeria. Any dispute arising out of or in connection with these Terms or your use of the Platform shall first be referred to good faith negotiation between the parties, and, if unresolved, shall be subject to the exclusive jurisdiction of the courts of Lagos State, Nigeria, or resolved by arbitration in Lagos in accordance with the Arbitration and Mediation Act, where the parties so agree in writing.
